Terms of Service

1. Introduction and acceptance
These Terms of Service ("Terms") govern your access to and use of the Candidplatform ("Platform"), operated by Eldev LTD, a company registered in England and Wales, with its registered office at 4th Floor, Silverstream House, 45 Fitzroy Street, London, W1T 6EB ("we", "us", "Eldev").
By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Platform.
2. Description of the platform
Candid8 is a cloud-based recruitment and candidate assessment platform that enables business clients to create job listings, collect candidate applications, administer assessments, manage hiring pipelines, and export candidate data. The Platform is made available on a software-as-a-service basis.
We reserve the right to modify, enhance, or discontinue features of the Platform at any time with reasonable notice to active clients. We will not remove core functionality without providing at least 30 days written notice.
3. Account registration and security
To access the Platform, business clients must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials. You must not share your account credentials with any person outside your organisation. Each user account may only be used by one individual — concurrent use of a single account by multiple individuals is prohibited. You must notify us immediately at sales@candid8s.com if you become aware of any unauthorised access to your account.
We reserve the right to suspend or terminate accounts where we reasonably suspect a breach of these secity obligations.
4. Permitted use and acceptable conduct
You may only use the Platform for lawful recruitment and hiring purposes within your organisation. You agree not to: use the Platform to discriminate against candidates on the basis of any protected characteristic under the Equality Act 2010 or applicable law; upload, transmit, or store any content that is unlawful, defamatory, fraudulent, or infringes the intellectual property rights of any third party; attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure; reverse engineer, decompile, or extract source code from the Platform; use automated tools, scripts, or bots to access or interact with the Platform; resell or sublicense access to the Platform without our prior written consent; use the Platform in any way that could damage, overburden, or impair its operation.
5. Client responsibilities regarding candidate data
As the data controller for candidate personal data collected through your job listings, you are solely responsible for: ensuring you have a lawful basis under UK GDPR for collecting and processing candidate data; providing candidates with appropriate privacy notices at the point of data collection; responding to candidate data subject requests within statutory timeframes; ensuring your use of the Platform complies with all applicable employment and data protection laws, including the UK GDPR, the Data Protection Act 2018, and the Equality Act 2010.
You acknowledge that Eldev acts as your data processor in relation to candidate data and that your use of the Platform is subject to our Data Processing Agreement, which forms part of these Terms.
6. Fees and payment
Access to the Platform is provided on terms agreed individually with each client. Pricing, payment terms, seat limits, and candidate limits are set out in your individual service agreement with Eldev LTD.
All fees are exclusive of VAT unless otherwise stated. Invoices are payable within the timeframe specified in your service agreement. We reserve the right to suspend access to the Platform in the event of non-payment following reasonable notice. Any dispute regarding an invoice must be raised within 14 days of the invoice date.
7. Intellectual property
All intellectual property rights in the Platform, including but not limited to the software, design, features, documentation, and trademarks, are owned by or licensed to Eldev LTD. Nothing in these Terms grants you any ownership rights in the Platform.
You retain ownership of all content you upload to the Platform, including job descriptions, assessment content, and candidate data. You grant us a limited, non-exclusive licence to use that content solely to provide the Platform services to you. We will not use your content for any other purpose without your explicit consent.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms ("Confidential Information"). Confidential Information includes, but is not limited to, pricing, technical specifications, business processes, and candidate data.
Each party agrees to: use Confidential Information only for the purposes of fulfilling its obligations under these Terms; not disclose Confidential Information to any third party without the prior written consent of the disclosing party; protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care.
These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or court order.
9. Warranties and disclaimers
We warrant that: the Platform will perform materially in accordance with its documentation; we will take reasonable steps to maintain the security and availability of the Platform; we will process personal data in accordance with our Privacy Policy and Data Processing Agreement.
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
10. Limitation of liability
To the maximum extent permitted by applicable law, Eldev LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, however caused and regardless of the theory of liability.
Our total aggregate liability to you arising out of or in connection with these Terms shall not exceed the total fees paid by you to Eldev LTD in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
11. Term and termination
These Terms commence on the date you first access the Platform and continue until terminated. Either party may terminate the agreement with 30 days written notice. We may terminate or suspend your access immediately and without notice if you materially breach these Terms, become insolvent, or if we are required to do so by law.
Upon termination: your access to the Platform will cease; we will retain your data for 30 days following termination, during which time you may request an export; after 30 days, we will securely delete your data unless we are legally required to retain it.
12. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall first be subject to good faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to the exclusive jurisdiction of the courts of England and Wales.
13. General
These Terms, together with our Privacy Policy, Cookie Policy, and any individual service agreement, constitute the entire agreement between you and Eldev LTD regarding your use of the Platform.
If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. We may update these Terms from time to time. We will notify you of material changes by email with at least 14 days notice. Your continued use of the Platform following that notice constitutes acceptance of the updated Terms.
